Terms of Use
1. Acceptance of Terms
By accessing, browsing, registering for, or using the MachineStand platform ("the Service"), you agree to be bound by these Terms of Use ("Terms"). If you represent an entity or contracting business, you warrant that you have the legal authority to bind that entity to these Terms. If you do not agree, you must immediately discontinue use of the Service.
2. Nature of the Platform
MachineStand is an industrial digital marketplace operated by Axom Transport SP LLC ("Company", "we", "us"). The Service facilitates discovery, communication, and commercial negotiation between heavy equipment owners/fleet operators ("Owners") and contractors or hiring parties ("Hirers").
Unless explicitly stated under a separate signed direct leasing agreement, MachineStand acts solely as a B2B technology intermediary. The Company does not own, inspect, warrant, or dispatch machinery listed by independent third-party Owners, nor does it guarantee the performance, creditworthiness, or site access clearance of Hirers.
3. Account Registration & Mobile Verification
To list machinery, submit hiring requests, or generate commercial documentation, users must register using a verified mobile phone number. You agree to provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of verification codes and for all activities that occur under your account.
4. Equipment Listings & Compliance Warranties
Owners listing machinery on the platform represent and warrant that:
- They are the legal owner or authorized custodian of the listed equipment.
- All stated machine specifications, operating hours, year of manufacture, and technical capabilities are true and accurate.
- Stated site compliance clearances (including, but not limited to, Third-Party Inspection certificates [TPI], CICPA/CNIA passes, and ADNOC approvals) are authentic, active, and verifiable upon request.
- Machinery is maintained in safe, roadworthy, and operational working condition complying with UAE industrial and occupational safety regulations.
5. Commercial Quotations & Direct Contracts
The Service offers digital tools to assist parties in calculating rates, drafting standard UAE hire terms, generating quotation summaries, and initiating WhatsApp or direct communications. Any plant hire agreement, Local Purchase Order (LPO), or lease contract formed following introductions on the Service is strictly a direct commercial contract between the Owner and the Hirer. The Company is not a party to these transactions and disclaims all liability arising from hire payment defaults, off-spec machinery delivery, site access delays, demurrage, breakdown claims, or operator conduct.
6. Limitation of Liability
To the maximum extent permitted by applicable UAE laws:
- The Service is provided on an "as is" and "as available" basis without express or implied warranties.
- In no event shall Axom Transport SP LLC, its directors, employees, or affiliates be liable for any indirect, incidental, punitive, or consequential damages, loss of site productivity, project delay liquidated damages, equipment damage, or mechanical breakdowns arising out of or related to your use of the platform.
- Our total aggregate liability for any direct claim arising out of your use of the Service shall not exceed AED 1,000.
7. Indemnification
You agree to defend, indemnify, and hold harmless Axom Transport SP LLC, its officers, directors, and employees from any claims, damages, liabilities, costs, or legal fees arising from your breach of these Terms, misrepresentation of equipment or site credentials, or disputes with other platform users.
8. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Emirate of Abu Dhabi and the Federal Laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Courts of Abu Dhabi.
